TERMS OF USE

S R OILS (hereinafter referred to as “SRO”, we, “us”, or “our”, including our affiliates and group enterprises) is offering various services under our customer centric initiatives, through our website: https://su.techonist.com/user/login and/or our mobile application: SUPER USTAAD (“SRO Platforms”) either directly or through our authorised retailer(s), in the course of providing services to you.

This Agreement contains all the terms and conditions applicable to, and governing, the provision of Services by SRO through the SRO Platforms (“Terms of Use”).

1. SERVICES :  The SRO Platforms are owned and operated by SRO. Through the SRO Platforms, we provide you with the following services (“Services”):

  1. Providing a platform for registering garages and mechanics
  2. Providing a platform for rewards in the form of points which can be further redeemed for gift or cash. [More under clause 13]
  3. Providing a platform for raising request for lodging service complaints or support related queries
  4. Providing value added product and service, such as:
  1. The SRO Platforms use “cookies”. Cookies are small data files that a website stores on your web browser. These are used for the purpose of storing your preferences, previous browsing activities, profiling and tracking your behaviour on the SRO Platforms. By visiting the SRO Platforms you acknowledge, accept and expressly authorise us for the placement of cookies on your web browser.
  2. Any accessing or browsing of the SRO Platforms, registration for and/or use of the Services indicates your agreement to these Terms of Use. If you disagree with any of the Terms of Use, then you should discontinue access or use of the SRO Platforms.
  3. We retain the right to update or revise these Terms of Use from time to time and therefore request you to check the Terms of Use every time you wish to use the SRO Platforms, to understand the prevailing Terms of Use.

2. ELIGIBILITY:  When you use the SRO Platforms, you represent that you meet the following primary eligibility criteria:

  1. You are at least 18 years old. If below 18 years, you are visiting the SRO Platforms under the supervision of a parent or legal guardian, who will then be deemed as the recipient/end-user of the Services for the purpose of these Terms of Use.
  2. You are legally competent to contract, and otherwise competent to receive the Services.
  3. You have not been previously suspended or removed by SRO, or disqualified for any other reason, from availing the Services.

3. USE OF THE SRO PLATFORMS:  As an end-user and recipient of Services, when you use the SRO Platforms, you agree to the following conditions of use:

  1. You will provide accurate and complete information everywhere on the SRO Platforms, based on which you will receive the Services.
  2. Prior to providing the Services, we reserve the right to verify, without assuming any obligation or responsibility to do so, all information and documents submitted by you, including your age and identity and asking for such additional information and documents as we deem necessary in our sole discretion to verify your details, and you hereby acknowledge and agree that you will provide all such additional information and documents required by us promptly by uploading the same on the relevant SRO Platform.
  3. You may view and access the content available on the SRO Platforms solely for the purposes of availing the Services, and only as per these Terms of Use. You shall not modify any content on the SRO Platforms or reproduce, display, publicly perform, distribute, or otherwise use such content in any way for any public or commercial purpose or for personal gain.
  4. You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile or otherwise exploit the SRO Platforms or any portion of it unless expressly permitted by SRO in writing.
  5. You will be solely responsible for all access to and use of the SRO Platforms by anyone using the password and identification originally generated in relation to your use whether or not such access to and use of the SRO Platforms is actually authorised by you, including without limitation, all communications and transmissions and all obligations (including, without limitation, financial obligations) incurred through such access or use. You are solely responsible for protecting the security and confidentiality of the password and identification generated in relation to your use.
  6. You may not make any commercial use of any of the information provided on the SRO Platforms.
  7. You may not impersonate any person or entity, or falsely state or otherwise misrepresent your identity, age or affiliation with any person or entity.
  8. You may not upload any content prohibited under applicable law, and/or designated as “Prohibited Content” under Clause 4 of these Terms of Use.
  9. We reserve the right to refuse service or terminate accounts at our discretion, if we believe that you have violated or are likely to violate applicable law or these Terms of Use.

4. PROHIBITED CONTENT:

  1. a) You shall not upload to, distribute, or otherwise publish through the SRO Platforms the following Prohibited Content, which includes any content, information, or other material that:
  1. belongs to another person and which you do not own the rights to;
  2. is harmful, harassing, blasphemous defamatory, obscene, pornographic, pedophilic, invasive of another's privacy
  3. is hateful, racially or ethnically objectionable, disparaging of any person;
  4. relates to or seems to encourage money laundering or gambling,
  5. harms minors in any way;
  6. infringes any patent, trademark, copyright or other proprietary rights;
  7. violates any law in India for the time being in force;
  8. deceives or misleads the addressee about the origin of your message;
  9. communicates any information which is grossly offensive or menacing in nature;
  10. impersonates another person;
  11. contains software viruses and malicious programs;
  12. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order;
  13. incites any offence or prevents investigation of any offence or insults any other nation.
  1. You also understand and acknowledge that if you fail to adhere to the above, we have the right to remove such information and/or immediately terminate your access to the SRO Platforms and/or the Services.

5. LIMITATION OF LIABILITY:

  1. By using our Services, you confirm that you understand and agree to the following:
  1. We are not liable for any direct, indirect, punitive, incidental, special or consequential losses or damages, including without limitation, losses and damages arising in relation to loss of data or profits, arising out of, or in connection with, the use of the SRO Platforms or availing the Services.
  2. In no event are we responsible for any third party misuse of the data and for any acts, deeds and circumstances beyond our reasonable control, including security and data theft.
  3. In the event that SRO markets or promotes any Services to you, please note that you will be responsible for undertaking an assessment regarding the suitability of such Services for your purposes. Marketing or promotion of Services should be considered as being for informational purposes only, and does not constitute expert advice on the suitability of such services for your specific needs.
  4. In no event will we, or our affiliates, be liable to you for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages arising out of or relating to: (A) these Terms of Use and the Privacy Policy available at https://su.techonist.com/user/privacy_policy, with any modifications and updates; (B) your use or inability to use the SRO Platforms; or (C) your use of any third party tools and services.
  1. This Clause 5 shall survive the termination of this Agreement and the termination of your use of our Services.

  2. We use reasonable technical, administrative, and physical security measures for the purpose of safeguarding all data you share with us, and have internal policies in place to prevent unauthorised access to your data. We also take adequate steps to ensure that third parties with whom we may share data, also adopt reasonable levels of security practices and procedures to ensure the privacy and security of your Personal Information.
  3. We use all reasonable endeavours to ensure the integrity and security of the SRO Platforms and the online payout facility provided on the SRO Platforms. Despite our endeavours, breaches of security and confidentiality could occur. You acknowledge that we are not liable for any loss suffered by you as a result of any breaches in security or technology breaches.

8. INTELLECTUAL PROPERTY:

  1. You acknowledge that we own the SRO brand name and the SRO Platforms, as well as all intellectual property rights contained on the SRO Platforms, including all trademarks, trade names, tag lines, logos, programs, processes, designs, software, technologies, inventions and materials therein.
  2. You are not permitted to use the content available on the SRO Platforms without our prior written permission.

9. THIRD PARTY LINKS & RESOURCES:

  1. Where the SRO Platforms contain links to other sites and resources provided by third parties (including where our social media sharing plug-ins include links to third party sites), these links are provided for your information only.
  2. We have no control over the contents of these third party websites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
  3. In particular, we cannot be held responsible for the privacy policies and practices of other websites even if:
  1. You accessed the third party website using links from the SRO Platforms; or
  2. You were linked to the SRO Platforms from a third party website.
  1. We recommend that you check the policy of each site you visit and contact the owner or operator of such website if you have any concerns or questions.

10. OTHER CONDITIONS:

  1. Pricing & Payment
    For availing our Services, you may be directed to certain third party payment portals from the SRO Platforms. We provide payout options through modes such as Net Banking & UPI etc. via our payment gateway partners. Your details pertaining to such payment is not stored by us. In case of any failure of payment, please contact the payment gateway partner in the contact information provided on their website.   2. Accuracy of Information Displayed
    We have made every effort to display, as accurately as possible, the information on the SRO Platforms. However, unless expressly stated as otherwise, we do not undertake any liability with respect to any information in regard to which you are capable of conducting your own due diligence to ascertain accuracy and you are responsible for undertaking an assessment regarding the suitability of the information and Services for your purposes.

11. FORCE MAJEURE:

  1. We will not be liable for any non-compliance or delay in compliance with any of the obligations we assume under any contract when caused by events that are beyond our reasonable control (“Force Majeure”). Force Majeure shall include any act, event, failure to exercise, omission or accident that is beyond our reasonable control, including, among others, the following:
  1. Strike, lockout or other forms of protest
  2. Civil unrest, revolt, invasion, terrorist attack or terrorist threat, war (declared or not) or threat or preparation for war.
  3. Fire, explosion, storm, flood, earthquake, collapse, epidemic or any other natural disaster.
  4. Technical glitches and other technological issues faced by the SRO Platforms
  5. Inability to use public or private transportation and telecommunication systems.
  6. Acts, decrees, legislation, regulations or restrictions of any government or public authority including any judicial determination.
  1. Our obligations deriving from any contracts should be considered suspended during the period in which Force Majeure remains in effect and we will be given an extension of the period in which to fulfil these obligations by an amount of time we shall communicate to you, not being less than the time that the situation of Force Majeure lasted.
  2. For change in law specifically, we reserve our rights to suspend our obligations under any contract indefinitely, and/or provide the Services under revised Terms of Use.

12. GOVERNING LAW & JURISDICTION

  1. The use of the SRO Platforms and availing the Services contracts through the SRO Platforms shall be governed by the laws of India.
  2. Any dispute arising out of, involving or relating to, or in connection with the SRO Platforms and the Services or the interpretation of any provisions of these Terms of Use, or the breach, termination or invalidity thereof and shall be subject to the exclusive jurisdiction of the courts at Jodhpur, Rajasthan (India).

13. SRO MECHANIC LOYALTY PROGRAM

1. Program: This program is a coupon/QR code scanning based points accumulation program for selected mechanics and independent workshop owners (each a "Participant") as determined by SRO, under which Program the Participants get rewards on scanning of coupons QR codes available on the goods purchased from the authorised retailers of SRO and shall be called the SRO Super Ustaad Mechanic Loyalty Program ("Program"). These terms and conditions also set out in detail the information that a user will be required to provide to use the App and how such information will be processed by SRO. Please read through these terms and conditions in detail for better understanding.

2. Application: Each Participant is required to install and use the SRO Super Ustaad App. SRO's Super Ustaad ("App") will be used for the Program and the terms of use of the App are given below these T&Cs. Each Participant shall be deemed to have accepted the terms of use for the App and to the extent required, the same terms will be deemed to have been incorporated into these T&Cs as well.

3. Entire Agreement: This Program will be governed by the terms and conditions ("T&Cs") contained herein below. These T&Cs contain the entire agreement between a Participant and SRO W.r.t the Program. SRO reserves a right to amend these T&Cs, at any time, in its sole discretion without any notice and/or reason. The decision of SRO shall be final and binding in all matters relating to the Program. Each Participant is required to frequently visit the App and read these T&Cs to understand any updates.

4. Organiser: The organiser of the Program is S R OILS  ("SRO"). SRO may from time to time appoint independent third-party service providers for operating the Program and/or receiving any services related to it. SRO may also engage any of its affiliates in its sole discretion for the purpose of operating the Program.

Participation: The Program is extended by invitation only to those Participants who have, during the validity period ("Program Cycle"), purchased products from authorised SRO dealers ("Retailer") and registered themselves on Super Ustaad App and scanned coupons using this App for availing the Program benefits. SRO reserves the right to choose the Participants for this Program at its discretion.

5. Validity of the Program opted for by the Participant will be articulated on the Super Ustaad app.

6. Registration:

a. Each Participant will be required to register itself as a user and a participant in the Program on the App. Each participant shall be deemed to have read through these T&Cs, the terms of use of the App and all other policies uploaded on the App from time to time.

b. Each Participant shall also register on the App their own bank account details for receiving coupon credits in their bank accounts. It is agreed and understood that each Participant should only mention their own bank account details for the purpose of receiving the Program benefits. SRO shall engage a third party to transfer such benefits to the Participants. SRO shall not verify the bank details and the Participant shall sole be responsible for providing correct and accurate bank account details and such details shall be deemed as Participants own details without the need of any verification whatsoever. Each Participant shall keep its details updated. In case a Participant is unable to do the same, please write to SRO at harshg3298@gmail.com.

c. The Participant shall also provide their mobile number at the time of registration with SRO.

d. Participants shall also be required to provide its accurate PAN number while registering on the App. SRO may appoint a third party for verifying the PAN details of the Participant. In case of any error in the details, the Super Ustaad App shall provide a prompt or message or show notification that the details are not validated, in which case the Participant shall promptly have the correct details added for verification. In the interim, SRO may in its sole discretion decide to provide the Participant program benefits subject to deduction of taxes at the applicable rates, which rates may be higher in the absence of the PAN details. It shall be the sole responsibility of the Participant to have the valid PAN details added and verified before scanning coupons /QR code. SRO shall not reimburse the Participant for any additional tax deductions.

e. SRO may from time to time require the Participants to re-verify their bank account details, PAN number and upload other relevant details as may be required under the applicable laws for processing the Program benefits and each Participant agrees to have the same updated from time to time.

f. Participants acknowledge that if any incorrect or inconsistent information is provided by a Participant, SRO shall have a right to reject transfer of any benefits under the Program or transfer benefits after deduction of taxes at the applicable rates, which rates may be higher in case

The information provided is incorrect/false/faulty. SRO also retains a right to disqualify any Participant at any time in case of false or incorrect information being provided.

g. Participants should link their valid bank accounts with the mobile number registered on SRO Super Ustaad app to receive periodic updates on the transfer of the benefits.

h. Each Participant's participation in the Program and receipt of benefits from the Program shall be valid only on the mobile number given at the time of registration of the App and as per Participant's profile details and "know your customer" parameters in SRO records.

Downloading Super Ustaad on any mobile number other than the registered number will disqualify the Participant from the Program.

7. Program Benefits (Point Accumulation & Redemption)

a. A Participant would be able to earn points (and other bonuses as announced from time to time) based on the Products purchased from authorised retailers of SRO and the QR coupons scanned using Super Ustaad app. SRO reserves the right to determine the point earning applicability and mechanism on each product and accumulation of points under this Program.

b. The validity of points earned would be expired on 31st March of every year. SRO may in its sole discretion decide to extend the validity of such points.

c. There would be limits set on the accumulation of points under this Program. SRO reserves the right to alter, change or modify the limits on the points that can be accumulated under this Program and the time limit for accumulation of the points under the Program. Points earned will be displayed on Super Ustaad app.

d. All Participants are required to accumulate minimum threshold points set by SRO before being eligible for redemption. If a Participant does not earn the minimum threshold points by the end of the Program period, the Participant will be forfeiting the points accumulated.

e. Redemption of points can be done through multiple redemption options available on the SRO Super Ustaad app. SRO reserves the right to introduce or withdraw any of the redemption options without prior intimation to users.

f. Points to value conversion for redemption will be mentioned on the Program construct.

SRO reserves the right to alter, change or modify the points to value conversion under this Program.

g. Redemption of accumulated points will be (i) by means of direct credit to the bank account registered on Super Ustaad app or (ii) towards purchase of SRO authorised products mentioned in the catalogue on the Super Ustaad app and the Participant hereby agrees and consents to the same or (iii) by choosing Products and Vouchers ("Prizes") mentioned in the catalogue on the Super Ustaad app.

h. Redemption requests once made cannot be cancelled.

i. On redemption towards SRO products mentioned in the catalogue, the Participant will receive a one-time code for such redeemed SRO product via SMS on their registered mobile number.

j. Any further queries or issues with regard to the redeemed product should be resolved by the Participants and SRO. Although, SRO shall not be responsible for any such queries or issues.

k. Participants should redeem their points before the end of validity period. For any points not redeemed within this timeline SRO reserves the right to convert the points into direct credit to the bank account registered on Super Ustaad App.

l. In addition to points, Participants will also be eligible to earn additional rewards basis the number of scans completed within the timeline mentioned on the app.

m. All benefits under the Program are subject to taxes. SRO may be required under the applicable law to deduct taxes at source, which deduction shall be made on the basis of the information uploaded by the Participant's on the App. All such deductions shall be made at the applicable rates. Irrespective of the deductions made, each Participant shall himself/herself be liable for disclosing the program benefits received by them (if required under the applicable law), computing their own income taxes and having the same deposited with the relevant governmental authorities.

8. Product Availability: SRO will make good faith efforts to ensure continuous availability of SRO authorised products. SRO will not be responsible for any delay and/ or limited availability of products in any event, including force majeure events.

9. Tax: All Program benefits are subject to the applicable income tax and other applicable taxes in force. Participants shall be responsible for payment of all applicable taxes, including but not limited to Goods and Service Tax (GST), and other taxes, duties, fines, penalties, etc., without any recourse and/or reimbursement from SRO.

Intellectual Property Rights & Confidentiality: All intellectual property rights ("PR") related to SRO, its products, and the Offer (including documents), will vest solely with SRO and or its affiliates, globally. Nothing herein provides the Participants a right and/or license to use the IPR for any purpose whatsoever. Program and T&C's are confidential and shall not be shared with any third party. Confidentiality obligations shall survive the termination of the Program.

11. Limited Liability: In no event shall SRO and/or its affiliates, and their respective officers, directors, agents, and employees, be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to this Program.

12. Indemnity: Each Participant shall keep SRO indemnified against all liabilities arising out of its failure to pay any tax and/or due to all other actions, proceedings, claims, damages, charges, costs, and expenses whatsoever in relation to this Program.

13. SRO shall also reserve the right to introduce or withdraw certain contests, the nature and period of which shall be communicated to the Participant at the time deemed appropriate by SRO. The Participant can choose to participate in any contest in order to be eligible to earn rewards as per the terms of the contest.

14. Winners of the contest will be announced on SRO Super Ustaad App within 7 days from the closure of the contest period.

15. Fixed number of winners will be selected during the contest period. All winners selected according to this clause shall individually be referred to as

"Winner" and collectively as "Winners". The selection of Winners will be on the parameters of number of scans completed and points earned.

16. The Winners will be rewarded with the prizes as specified and updated on the SRO Super Ustaad App ("Prizes") announced at the start and during the contest period. SRO reserves the right to alter, change or modify the Prizes under this Program.

17. Contest winners will need to mandatorily provide Identity Proof to claim their Prize. Acceptable documents include PAN Card, Bank Photo Passbook or Driver's License or other valid address proof. A clear image of one of these documents needs to be updated on SRO Super Ustaad App by the Winner.

18. A SRO representative will visit the mechanic to verify KYC details. In case of incomplete KYC, the winner will be disqualified from receiving the Prize under this Program.

19. A SRO representative will also call the Participant on the registered mobile number logged on SRO Super Ustaad App to verify the address provided at the time of registration between 10 AM and 5 PM from Monday to Friday. In the event the shortlisted Participant's number is unreachable, or he/she does not respond to the communications of SRO, two

(2) more attempts will be made to reach the Participant. If even on the third attempt, the Participant does not respond, the Participant's participation in the contest comes to an end and the Participant becomes ineligible to receive the Prize.

20. Once the delivery address is obtained, the delivery partner will attempt to deliver the Prize.

21. In the event there is no response received from the Participants or the Winners, SRO shall not be held responsible for non-delivery of Prizes.

22. The courier shall require the Winner to sign the acknowledgement receipt ("POD") as a proof of receipt of the Prize, without which the courier will not be handed over to the Winner.

23. The courier shall collect the signed POD and Winners would need to furnish a valid government issued photo identity proof such as PAN Card/ Driver's licence/Bank Photo Passbook etc. to the courier service providers.

24. If the Winner is not available at the given address, the courier will make one (1) more attempt to deliver the Prize. If the attempt is unsuccessful due to the Winner's unavailability, the courier shall make no further attempts to deliver the Prize and the Prize will stand forfeited.

25. Any graphics of the Prize, as depicted in any communication regarding the contest, are for representation purposes only. The actual Prize may differ in colour and appearance. The Prize cannot be transferred or exchanged and no cash payment in lieu of the same will be made. If a Prize, or any portion thereof, cannot be awarded for any reason, SRO reserves the right to substitute prize with another prize of equal or greater value.

26. SRO reserves the right to withhold Prizes in the event of submission of false, incorrect, misleading, or fraudulent information and/or in the event of fraudulent practices like website or mobile system hacking, etc.

27. Privacy: Each Participant agrees that it has read through these terms in detail and after understanding consents to collection, sharing (including with third parties for implementing the offer or communicating other offers/activities in future), storing, processing & use of their information i.e., name, address, phone number, email id, bank account, email ids and other information provided on the App etc., for the purposes detailed herein, as per SRO's privacy policy available at https://su.techonist.com/user/privacy_policy. SRO may share the information within the SRO group enterprises, and/or with other third-party service provides including data processors from or outside India. In case you wish to withdraw your consent for such processing, please write to us. Please also note that on withdrawal, SRO will be unable to process any redemption requests. It is also understood that denial or removal of the information may also lead to certain functionalities of the App not being available. It is also understood that a removal request would not mean deletion of the information.

SRO may still be required to retain the users information for a certain period of time in order to comply with the applicable legal requirements. You are also required to keep correct information updated on the App.

28. Personal Information of the Participants shall be used to deliver prizes by SRO, its affiliates, associates, agents, contractors. Prizes will be delivered basis the Personal Information shared by the Winners.

29. By availing the Prizes and or taking part in the contest, all Participants agree that SRO shall be at liberty to use Participant's name and/or photo and /or video that may appear in any advertisements promotions/media coverage or publicity in any form which exists today or will be known anytime in the future, without any consideration to the Participant and/ or the Winners. No fees or other sums are to be paid to the Participants or Winners on account of taking part in the advertisements / promotions.

30. The contest shall be adjudged by SRO and the decision of SRO with regard to all aspects of the Program will be final and binding with regard to any dispute arising out of this activity.

31. The benefits under this Program and contest are not transferable and are not for sale.

32. The Participant shall keep the details of this program and also his/ her log in details confidential.

33. SRO will not be responsible for any claims, losses or liabilities if a Participant shares their details with any third party.

34. SRO reserves the right to alter, change or modify the T&Cs of the Program at any time it is in force at its discretion and without any prior notice and without assigning any reason.

35. In the event of any inconsistency between these T&Cs and any advertising, publicity and other materials relating to or in connection with the Program, these T&Cs shall prevail.

36. SRO reserves the rights to postpone/ cancel the Program for any reason whatsoever, including due to the provisions of any applicable statutes, laws, or rules or regulations as may be in force from time to time.

37. Any Participant found obtaining points by improper means in the opinion of SRO would be disqualified from the Program and the discretion of reinstating his membership and points will lie with SRO.

38. The decision to disqualify certain participants from the Program would lie solely with SRO and shall be final and binding. In case of disqualification, all points earned for the relevant contest will lapse.

39. The Participant shall not bring any action, claim, damages or other proceedings against SRO, its directors, agents, employees,

Licensees Or assignees, the event sponsors, or any of its affiliates, or persons associated with SRO in relation to the Program.

40. Participants represent and warrant that they are a resident of India, above the age of 18 and are competent to contract. Notwithstanding anything contained herein, SRO hereby reserves the right to deny access to the system or any part thereof to any person, without assigning any reason therefore.

41. The following categories of persons are also not eligible to enter the contest:

A) Employees of SRO and/or their Associates/ affiliate and their family members if up to first degree of consanguinity. Employees and or their associates of any agency associated with SRO and their family members if up to first degree of consanguinity Participation in the Program by the Participant shall constitute as permission (i) for SRO and its Affiliates to use the Participant's name, details, and photographs, for promotional purposes in any media worldwide for purposes of advertising and trade without any additional compensation whatsoever (ji) receive promotional messages about the Program and other Programs of SRO and messages relating to the Program from SRO or any third party so authorised by SRO.

42. The Participant shall not bring any action, claim, damages or other proceedings against SRO, its Directors, agents, employees, licensees or assigns, the event sponsors, or any company or persons associated with SRO or hold SRO or its affiliates responsible for any losses or damages under the Program or in the event suffering any personal injury or death or any damage being caused to any property belonging to them.

43. SRO shall be excused from performance under these T&C, to the extent it is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from: (a) acts of God; (b) acts of war, acts of terrorism, insurrection, riots, civil disorders or rebellion; (c) pandemics, quarantines or embargoes;

(d) labour strikes; (e) error or disruption to computer hardware or networks or software failures; or (9) any other causes (whether similar or dissimilar) beyond the reasonable control of SRO.

44. The Participant shall not assign these T & C, or any rights, benefits or obligations hereunder without the express written permission of SRO. Any attempted assignment that does not comply with these T & C shall be null and void. SRO may assign these T & C, in whole or in part, to any third-party in its sole discretion.

45. The Participant acknowledges and agrees to comply with all applicable laws, regulations, and guidelines with respect to the transactions contemplated under these T&C.

46. This Program and these Terms and Conditions shall be read and interpreted as per the laws of India. Any dispute with regard to the Program will be subject to the exclusive jurisdiction of competent courts in Jodhpur only.

SUPER USTAAD APP TERMS OF USE

1. Use of the SRO Super Ustaad app will be governed by the Terms and Conditions contained herein below ("T&C"). Each user agrees that he/she has read and understood the T&Cs and each user agrees to be bound by the T&Cs.

2. The SRO Super Ustaad App has been designed for scanning QR coupons located outside the cap of the pack. In addition, the app could also be used to run other marketing promos.

3. S R OILS ("SRO") does not guarantee that the SRO Super Ustaad App is perfect or free from faults or the information contained is completely accurate. Participants are encouraged to visit to our website for updated customer care information. Although we make reasonable efforts to update the information provided by SRO Super Ustaad App, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete, or up to date. SRO Super Ustaad App and the services have not been developed to meet your individual requirements. Please check that the facilities and functions of SRO Super Ustaad App meet your requirements.

4. Access to SRO Super Ustaad App

By accessing and using this app, the user represents, warrants, and agrees that:

a. The user is a resident of India, are above the age of 18 and are competent to contract.

b. The user is registered with SRO (Distributor of multiple brands) or is a mechanic/consumer of SRO’s authorised products.

c. The user is able to create a binding legal obligation.

d. The user is not barred from receiving products or services under applicable law.

e. The use of the SRO Super Ustaad App will at all times comply with these Terms and Conditions.

f. The user shall provide any and all information as is required and all such information is accurate, true, current and complete.

g. Certain details like location address and pin code will be captured by SRO through the Super Ustaad application using a global positioning system (GPS) tracker and such locational details are a prerequisite for the user to commence using the Super Ustaad application.

The user consents and permits SRO to capture such locational details as and when the user logs onto the Super Ustaad Application. The user understands and agrees that if such details are not procured or the user does not permit the GPS tracker to access their locational details, the user will not be able to access and use the Super Ustaad application. Any user may decide to remove such consents. It is also understood that in case a consent is removed, certain functionalities of the App may not be available.

h. The user will update the correct information and ensure that it is accurate at all times.

i. This shall constitute permission and consent for SRO and its affiliates to store in its database and also use the user's name, telephone numbers, e-mail ids, personal sensitive information like bank account details and IFSC codes, permanent account number, Aadhar card number, and other details and information ("Personal Information") without any additional compensation whatsoever.

j. This shall also constitute permission for SRO to share the Personal Information with its affiliates and also with banking partner / third party payment bank that it may tie up with from time to time to facilitate transfer of funds to the User bank account.

k. The User shall bear all the risks of the banking channels and the risk of SRO sharing Personal Information to the banks and other third-party payment providers, subject to reasonable standard measures adopted by the banks and such third-party service providers to ensure security of such channels.

l. Downloading the SRO Super Ustaad App shall be deemed to be consent by the user to receive promotional messages about the app and Programs of SRO from SRO or any third party so authorized by SRO.

m. Users shall not reverse engineer, tamper or misuse the App while download, installation or functioning of the App in any manner.

5. Usage of the SRO Super Ustaad App

The purpose of the app is to scan QR coupons which are available outside certain packs.

The app will function as follows:

a. Users register themselves on the app by providing their mobile numbers. The request once approved by SRO will prompt the user to login with OTP sent on registered mobile number.

b. The user then scans the QR code located outside the cap of the pack. In case of coupons not getting scanned, the user can manually enter the 19-digit code mentioned on the coupon.

c. Scan results will indicate the validity of a QR code. Valid QR codes are those codes which are scanned for the first time before the date of expiry.

d. Only valid QR codes are eligible for redemption.

e. Users will be able to view a summary of all coupons scanned.

f. If the User has entered his / her bank account information and provided the other Personal Information, funds have to be transferred by them via the transfer to bank feature on the app (only to the bank account so provided by the User), after validation of code. SRO and / or its affiliates shall not be responsible for verifying or validating the authenticity of the information so provided by the User and shall not be responsible for any crediting / transferring the funds to an account, where wrong details have been provided by the User.

6. Users may be barred from using the SRO Super Ustaad App in case of misuse. SRO shall have sole discretion in barring such users.

7. In order to provide our products and services we may, however, need to share your personal information with other companies within the SRO and its Group of enterprises, and/or third-party service providers that process data on our behalf. We reserve the right to disclose your personal information as required by law, or when we believe that disclosure is necessary to protect our rights and/or comply with a judicial proceeding, court order, request from a regulator or any other legal process served on SRO. In the event that SRO is subject to a takeover, divestment or acquisition we may disclose your personal information to the new owner of the business.

8. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in SRO Super Ustaad App, throughout the world belong to us and the rights in SRO Super Ustaad App. You shall not claim or impair in any manner the intellectual property rights in, or to, SRO Super Ustaad App other than the right to use SRO Super Ustaad App in accordance with these terms.

9. You must:

a. Not use SRO Super Ustaad in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into SRO Super Ustaad App or any operating system.

b. Not infringe our intellectual property rights or those of any third party in relation to your use of SRO Super Ustaad App.

c. Not use SRO Super Ustaad App or any service in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users.

d. Not collect or harvest any information or data from or our systems or attempt to decipher any transmissions to or from the servers running SRO Super Ustaad App.

10. YOU MUST KEEP YOUR ACCOUNT DETAILS SAFE

If you are provided with, a user identification code, password, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party (including but not limited to those individuals in your own company). SRO has the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you know your user identification code or password, you must promptly notify us. You can refer to our website for details of our customer care.

11. The users shall not bring any action, claim, damages, or other proceedings against SRO, it's directors, agents, employees, licensees or assigns, affiliates or persons associated with SRO in the event suffering any injury or losses or any damage being caused on account of usage of the SRO Super Ustaad App.

12. You agree that you will:

a. not rent, lease, sub-license, loan, provide, or otherwise make available, SRO Super Ustaad App in any form, in whole or in part to any person without prior written consent from us.

b. not copy SRO Super Ustaad App.

c. not translate, merge, adapt, vary, alter or modify, the whole or any part of SRO Super Ustaad App, nor permit SRO Super Ustaad App or any part of it to be combined with, or become incorporated in, any other Programs

d. not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of SRO Super Ustaad App nor attempt to do any such things

e. comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by SRO Super Ustaad App or any service.

13. WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM

a. We do not guarantee that the SRO Super Ustaad App will be secure or free from bugs or viruses.

b. You are responsible for configuring your information technology, computer Programmes and platform to access SRO Super Ustaad App.

You should use your own virus protection software.

c. You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.

14. SRO reserves, at any time, the right to refuse reimbursement to a user who SRO decides (in its sole discretion)

a. Has violated the Terms and Conditions including but not limited to gaining an unfair advantage in scanning using fraudulent means.

b. Has scanned duplicate coupons.

c. Has scanned expired coupons. SRO also reserves the right, at any time, to verify the validity of submissions made by the users.

15. UPDATE TO SRO SUPER USTAAD APP AND CHANGES

TO THE SERVICE

From time to time we may automatically update the SRO Super Ustaad App and change the Service to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively, we may ask you to update the SRO Super Ustaad App for these reasons. If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using SRO Super Ustaad App and the Services.

SRO shall not be liable for any cost incurred by the user for downloading the app or regular usage of the app.

16. WE MAY COLLECT TECHNICAL DATA ABOUT YOUR DEVICE

a. By using SRO Super Ustaad App or any of the Services, you permit SRO and its affiliates to collect and use technical information about the devices you operate SRO Super Ustaad App on and the related software, hardware, and peripherals to improve our products and to provide any services to you.

b. All user personal details must be valid and up to date and will be held by SRO and may be used for the purpose of the app and for future promotion and marketing purposes in accordance with SRO Privacy Policy see https://su.techonist.com/user/privacy_policy unless otherwise directed by users at the time of using the app.

17. The user shall not assign these T&Cs, or any rights, benefits or obligations hereunder without the express written permission of SRO. Any attempted assignment that does not comply with these T & Cs shall be null and void. SRO may assign these T & Cs, in whole or in part, to any third-party in its sole discretion.

18. The T&Cs and other terms incorporated by reference, constitutes the entire agreement and understanding between the user and SRO with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the user and SRO with respect to such subject matter.

19. SRO reserves its right at all times to modify any part of these T & Cs at its sole discretion. The user agrees to revisit the T & Cs regularly to ensure that they stay informed of any changes. The user's continued use of the services after any update to the T & Cs will constitute acceptance of the modified T&Cs.

20. In the event of any inconsistency between these T&Cs and any other materials, documents or writings relating to or in connection with the app, these T&Cs shall prevail.

21. The failure of SRO at any time to require observance or performance by the user of any of the provisions of these T & C shall in no way affect SRO's right to require such observance of performance at any time thereafter, nor shall the waiver by SRO of a breach of any provision hereof by the user be taken or held to be a waiver of any succeeding breach of such provision. A waiver of any of the provisions herein by SRO shall not be deemed to be a continuing waiver but shall apply solely to the instances to which the waiver is directed.

22. SRO shall be excused from performance under these T&Cs, to the extent it is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from: (a) acts of God; (b) acts of war, acts of terrorism, insurrection, riots, civil disorders or rebellion; (c) quarantines or embargoes; (d) labour strikes; (e) error or disruption to computer hardware or networks or software failures; or (g) any other causes whether similar or dissimilar) beyond the reasonable control of SRO.

23. In no event shall SRO, its promoters, licensees, affiliates, subsidiaries, group enterprises (as applicable) and their respective officers, directors, agents, and employees, be liable for any direct, indirect, incidental, special, consequential or punitive damages arising out of or related to: (a) The user's use of or reliance upon the application, and an other content or information contained in the application; (b) The user's inability to use the application; (d) the quality, quantity merchantability or performance or any product or service. We exclude all implied conditions, warranties, representations, or other terms that may apply to our site or any content on it.

24. Each and every obligation under these T & Cs shall be treated as a separate obligation and shall be severally enforceable as such and in the event of any obligation or obligations being or becoming unenforceable in whole or in part. To the extent that any provision or provisions of these T & Cs are unenforceable, SRO may amend such clauses as may be necessary to make the provision or provisions valid and effective. Notwithstanding the foregoing any provision which cannot be amended as may be necessary to make it valid and effective, may be deleted by SRO from these T & Cs and any such deletion shall not affect the enforceability of the remainder of these Terms.

25. Any dispute with regard to the SRO Super Ustaad App will be subject to the jurisdiction of competent Courts in Jodhpur only.

26. In the event of any dispute or difference between the user and SRO arising out or in any way relating to these T & C, the same shall be referred to arbitration to be conducted by a sole arbitrator appointed by SRO. The arbitration proceedings shall be conducted in Jodhpur, in accordance with the provisions of Arbitration & Conciliation Act 1996.

27. WE WILL NOT ALLOW TO ACCESS THIS APP

FROM ANY ROOTED DEVICE.

User is expected to download and use the application on their smartphone's devices with a standard Android operating system only and any deviation from the above or use of specialised devices for accessing the application is not permissible. The User is solely responsible for any actions or losses incurred on account of any non-permissible use of the application as stated herein and SRO will not be held responsible or accountable for any such deviation.
